These terms govern your use of CreditOps ("the app"), a Shopify application operated by Talivio Technology OÜ (registry code 16991406), Ahtri tn 12, Kesklinna linnaosa, Tallinn, Harju maakond, 15551, Estonia ("we", "us"). By installing or using the app you agree to them.
CreditOps is an operations and reporting layer on top of Shopify's native store credit: expiry policies and reminder emails, refund-to-credit bonuses, bulk credit top-ups, and store credit liability reporting. It works exclusively with the store credit data held in your Shopify store. The app is intended for business and professional use by merchants, not for consumers.
The liability, aging, and breakage reports the app produces are informational tools derived from your Shopify store credit data. They are not accounting, tax, or legal advice, and they do not replace your own bookkeeping or your accountant's judgment. You are responsible for verifying figures before relying on them in financial statements or tax filings.
The app is charged through Shopify's billing system on a recurring subscription basis, at the price and trial terms shown on the app's plan selection page. Charges appear on your Shopify invoice; billing, proration on plan changes, and refunds are governed by Shopify's billing terms. Uninstalling the app ends the subscription per Shopify's rules. Fees already paid are non-refundable unless required by law or by Shopify's billing terms.
The app is built entirely on Shopify's platform and APIs, including its native store credit system. We do not control Shopify and are not responsible for its availability, for changes Shopify makes to its APIs, pricing, or store credit features, or for limits Shopify imposes (such as store credit balance caps or processing fees). If Shopify changes or withdraws capabilities the app depends on, some features may change or stop working; we will make reasonable efforts to adapt.
We aim to keep the app available and its synced data accurate, but the app is provided "as is" and "as available", without warranty of uninterrupted or error-free operation. Because Shopify offers no store credit webhooks, the app's local ledger is updated by periodic synchronisation and may briefly lag behind your store's actual balances.
You may not misuse the app, use it to send unsolicited email, attempt to disrupt or gain unauthorised access to it, or use it in breach of applicable law or of Shopify's terms.
We own the CreditOps software and its content. You retain ownership of your store's data; you grant us the rights needed to host and process it to provide the app. Personal data of your customers is processed as described in our Privacy Policy, where we act as your processor. We will, on request, enter into a GDPR Article 28 data processing agreement with business customers; our standard DPA is available at [email protected].
To the fullest extent permitted by law, Talivio Technology OÜ is not liable for indirect, incidental or consequential losses, lost profits, or losses arising from your store credit policies, your accounting or tax decisions, or from Shopify's acts or omissions. Our total aggregate liability under these terms is limited to the fees you paid us in the twelve months before the event giving rise to the claim; where no fees were paid in that period, our total aggregate liability is limited to EUR 100.
This limitation does not apply to liability that cannot be limited under mandatory law, including liability for intent (wilful misconduct) or gross negligence, for death or personal injury, or under mandatory consumer-protection law.
You may stop using the app and uninstall it at any time from your Shopify admin. We may suspend or terminate access for breach of these terms. On uninstall, your data is deleted as described in the Privacy Policy; export any reports you want to keep before uninstalling.
We may update these terms from time to time. The date at the top shows when they last changed; material changes will be communicated where appropriate, and continued use of the app after a change constitutes acceptance.
These terms are governed by the laws of Estonia, excluding its conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). The courts of Harju Maakohus (Harju County Court, Tallinn), Estonia, have exclusive jurisdiction over any dispute arising out of or in connection with these terms. The app is intended for business and professional use, and you enter into these terms as a business.
Nothing in this clause deprives you of the protection of mandatory provisions of the law of your country of habitual residence or establishment that cannot be derogated from by agreement.
